Board Dynamics: Roles, Power and How Boards Really Function

A grounding session in Albanian corporate governance reality — the legal framework (Law 9901/2008), the structural choices, and what governance actually looks like across joint-stock companies, SOEs, family businesses and regulated entities. The session closes the gap between formal structure and behavioral reality.

The human layer of governance. How effective boards make decisions, how the chair-CEO relationship shapes everything else, how committees function (and fail), and how an independent director navigates pressure. Uses anonymized case vignettes from Albanian and regional companies. → What is the actual power dynamic inside a board? → How does an independent director add value without losing independence? → What does board dysfunction look like — and how do you respond? Closes with a fireside conversation with an experienced independent director.

The session closes the gap between formal structure and behavioral reality.

Finance for directors, not for CFOs. How to read a board pack critically, challenge management on capital expenditure and M&A; proposals, and recognize when financial information is being managed rather than disclosed. Includes the Albanian banking sector and family business financial governance lens. → What financial questions should every board director be able to ask? → How do you evaluate an investment proposal without being a finance expert? → What are the red flags in a board pack that signal governance risk? Closes with a fireside conversation with a CFO or investment officer with board experience.

What AI adoption and cyber risk mean for a director, how to ask the right questions without being a technologist, and the reputational and liability dimension of digital negligence. Includes the family business and SME angle.

The Director's Posture: Strategic Leadership, Geopolitics and the Board of Tomorrow

The most immediate emerging agenda for Albanian boards — reframed as a board oversight question, not a technical one. What AI adoption and cyber risk mean for a director, how to ask the right questions without being a technologist, and the reputational and liability dimension of digital negligence. Includes the family business and SME angle.

The capstone. What it means to sit on a board as a genuine strategic actor. How major geopolitical shifts — EU accession, regional instability, supply chain reconfiguration — are landing on Albanian boards today. The session closes with a personal reflection: each participant defines their own next step as a director. → What separates a strategic director from a monitoring one? → How does the EU accession trajectory reshape what Albanian boards need to do? → What kind of director do you want to be?
